Prices are exclusive of all national and local sales and value-added taxes.

Time-in-transit is charged at the following rates:

	one-half labor day for round trip travel within the Pacific/Mountain time zones of North America,
	one labor day for round trip travel to/from other time zones of North America,
	two labor days for round trip travel to locations outside North America.

Travel, living, and miscellaneous expenses are billed at cost.

WAMware warrants that its employees and representatives will use reasonable care and skill in providing the subject services. The Client shall retain full control over the use of any recommendations provided by WAMware and assumes all risks and liability for results of the provision of services. Client agrees that WAMware shall have no liability to Client or to any third party for any ordinary, special, or consequential damages or losses which might arise directly or indirectly by reason of the provision of services. Client shall protect, indemnify, hold harmless and defend WAMware of and from any loss, cost, damage or expense, including attorney’s fees, arising from any claim asserted against WAMware associated with these services.

WAMware will invoice twice monthly based upon progress against the proposed plan of services. Payment is due upon receipt of invoice, unless pre-agreed otherwise.

WAMware proposals are valid for 60 days after date of issue to client.
